CHANGES TO THE ONTARIO CORPORATE REGISTRY SYSTEM: THE ONTARIO BUSINESS REGISTRY (OBR)

This post is to inform our valued clients of the recent changes to the provincial corporate registry system, which have come as a result of the recent launch of the Ontario Business Registry (OBR) earlier this month. The new OBR system has been designed to streamline and prioritize ease-of-access for organizations that are registered, incorporated or licensed to carry on business in Ontario by creating online access to business and corporate services, cutting down on paperwork and filing delays.

Company Key

With this move to online access, our clients should be aware that every Ontario corporation now requires a Company Key in order to access their corporation’s profile on the OBR. Our clients will require this Company Key to log-in themselves (or permit Kutner Law LLP to log in on their behalf) and submit any filings or effect any changes to your company/corporation via the online service. All companies/corporations that were incorporated prior to October 19, 2021 without a Company Key will need to submit a request for a Company Key by completing the request form found here . If you would like or require assistance with obtaining your Company Key, please contact our firm. If you have already been issued your Company Key, we would kindly ask that you provide us with a copy for our records to enable us to access the ministry records.

Note: Any companies incorporated after October 19, 2021 will automatically be issued a Company Key –once you receive it, please send a copy to Kutner Law LLP.

Ontario Information Return

These changes to the corporate registry system also now require corporations to file their annual Ontario Information Return via the OBR portal—this information is required by the Government of Ontario on a yearly-basis in order to keep your corporation valid and in existence. Please be advised that the filing requirements of the Ontario Information Return have now supplanted the requirement for your accountant to file a separate Annual Information Return with the Canada Revenue Agency.
